Acceptance of Terms
By accessing and using the services provided by CoreVision ProAE Ltd ("Company", "we", "our", or "us"), you ("Client", "you", or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These terms apply to all users of our website corevisionproae.world and all clients engaging our digital learning platform cost analysis services.

Service Description
CoreVision ProAE provides digital learning platform cost analysis services to educational institutions across the European Union. Our services include but are not limited to:
- Platform cost analysis and evaluation
- Return on investment assessments
- Strategic technology consulting
- Implementation support and guidance
- Budget planning and forecasting services
Client Obligations
As a client of CoreVision ProAE, you agree to:
- Provide accurate and complete information necessary for service delivery
- Cooperate with our team and respond to requests for information in a timely manner
- Maintain the confidentiality of any proprietary information shared during the engagement
- Use our services and recommendations in accordance with applicable laws and regulations
- Pay all fees and charges as agreed in the service agreement
- Notify us promptly of any changes that may affect the scope or delivery of services
Service Agreements
Specific terms for individual service engagements will be outlined in separate service agreements or statements of work. These documents will detail:
- Scope of services to be provided
- Deliverables and timelines
- Fees and payment terms
- Specific responsibilities of both parties
In case of conflict between these Terms of Service and a specific service agreement, the service agreement shall take precedence for that particular engagement.
Payment Terms
Unless otherwise specified in a service agreement:
- Fees are payable in Euros (EUR)
- Payment terms are typically 30 days from invoice date
- Late payment may result in suspension of services
- All fees are exclusive of applicable taxes and duties
Intellectual Property
All intellectual property rights in our methodologies, frameworks, templates, and proprietary analysis tools remain the exclusive property of CoreVision ProAE. This includes:
- Analysis methodologies and frameworks
- Report templates and formats
- Proprietary software tools and models
- General industry knowledge and best practices
Client-specific deliverables, such as analysis reports and recommendations, become the property of the client upon full payment of fees. However, we retain the right to use anonymised data and insights for the improvement of our services and methodologies.
Confidentiality
We acknowledge that during the course of providing services, we may have access to confidential information about your organisation. We commit to:
- Maintain strict confidentiality of all client information
- Use information solely for the purpose of providing agreed services
- Implement appropriate security measures to protect confidential data
- Not disclose information to third parties without explicit consent
Limitation of Liability
To the maximum extent permitted by law, CoreVision ProAE's liability for any claim arising from or related to our services is limited to the total amount paid by the client for the specific service engagement giving rise to the claim.
We shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or business opportunities
- Decisions made by the client based on our recommendations
- Third-party actions or failures
- Force majeure events beyond our reasonable control
Our recommendations are based on information provided by the client and industry best practices. The client retains full responsibility for all business decisions and their implementation.
Professional Standards
We commit to providing services in accordance with professional standards and industry best practices. However, we make no warranties or guarantees regarding:
- Specific outcomes or results from implementing our recommendations
- The accuracy of third-party data or information
- Future market conditions or technology developments
- Regulatory changes that may affect recommendations
Termination
Either party may terminate a service engagement:
- By mutual written agreement
- Upon material breach of these terms, with 30 days' written notice to cure
- For convenience, with 30 days' written notice
Upon termination:
- All outstanding fees become immediately due and payable
- We will deliver all completed work products
- Both parties' confidentiality obligations continue
- We may retain copies of work products for our records
Data Protection
We process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Our data processing practices are detailed in our Privacy Policy, which forms an integral part of these terms.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus.
For clients located in other EU member states, local consumer protection laws may provide additional rights that cannot be waived by these terms.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, pandemic restrictions, or technology failures.
Amendments
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients with reasonable notice. Continued use of our services after such modifications constitutes acceptance of the updated terms.
Severability
If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original.
Entire Agreement
These Terms of Service, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior negotiations, representations, or agreements.
